We,
Mohammed bin Rashid Al Maktoum, Ruler of Dubai,
After perusal of:
Law
No. (4) of 2008 Establishing the Dubai Cares Foundation;
Law
No. (5) of 2008 Establishing the Mohammed bin Rashid Al Maktoum Foundation;
Law
No. (23) of 2009 Concerning the Mohammed bin Rashid Establishment for Small and
Medium-sized Enterprises Development and its amendments;
Law
No. (18) of 2010 Establishing Noor Dubai;
Law
No. (3) of 2012 Establishing the Mohammed bin Rashid School of Government and
its amendments;
Law
No. (10) of 2012 Establishing Al Jalila Medical Education and Research Support
Foundation;
Law
No. (1) of 2012 Concerning the International Humanitarian City;
Law
No. (3) of 2015 Establishing the UAE Water Aid Foundation (Suqia);

Do hereby issue this Law.
This
Law will be cited as “Law No. (33) of 2015 Establishing the Mohammed bin Rashid
Al Maktoum Global Initiatives Foundation”.
The
following words and expressions, wherever mentioned in this Law, will have the
meaning indicated opposite each of them unless the context implies otherwise:

Concerned
Entities: |
The Government and private entities, and the initiatives and awards set forth in this Law and the resolutions issued in pursuance
hereof, which contribute to the achievement of the objectives of the MBRGI. |
Pursuant
to this Law, a public foundation named the “Mohammed bin Rashid Al Maktoum
Global Initiatives Foundation” is established. The MBRGI will have legal
personality, financial and administrative autonomy, and the legal capacity
required to undertake all acts and dispositions that ensure the achievement of
its objectives. The MBRGI will be affiliated to the Ruler.
The
head office of the MBRGI will be located in the city of Dubai. Other branches
of the MBRGI may be established within and outside of the Emirate pursuant to a
resolution of the Board of Trustees.
The MBRGI will have the following objectives:
1.
to support and uphold the comprehensive strategy of the UAE for
humanitarian, development, and social work by coordinating efforts in this
respect;
2.
to develop an overall vision and a strategic framework based on
which Concerned Entities work to achieve the objectives of the MBRGI;
3.
to launch programmes, projects, and initiatives that support
humanitarian work, and to promote a culture of humanitarian and development
work in the UAE and the Arab world with a view to achieving the development
vision of the UAE;
4.
to develop a general media framework for the MBRGI and Concerned
Entities to highlight their role and contribution to humanitarian, development,
and social work at the local, regional, and international levels with a view to
achieving consistency in the delivered media messages and the visual identities
of Concerned Entities;
and
5.
to consolidate coordination amongst Concerned Entities and steer efforts towards the most significant issues impacting the local, Arab, and
international community with a view to achieving humanitarian and development
goals and highlighting the effectiveness of these efforts in combating scourges threatening communities, such as poverty, disease, and illiteracy.
For the purpose of achieving its
objectives, the MBRGI will have the duties and powers to:
1.
undertake general supervision
and coordination of the initiatives, projects, and programmes of Concerned
Entities; and submit the
required reports in this respect to the President;
2.
develop a comprehensive strategic communication plan to synergise all the initiatives of Concerned
Entities, and provide these entities with all types of media support;
3.
develop an integrated information management process to identify
all the initiatives and projects of Concerned Entities, and evaluate their
performance and outcomes with a view to supporting the achievement of the
objectives of the MBRGI;
4.
raise awareness, in coordination with Concerned Entities, of the
importance of humanitarian, development, and social work;
5.
develop a regional and international network of cooperation in the area of humanitarian and development work;
conclude the required contracts, agreements, and memoranda of understanding;
and issue, in cooperation
with Government, regional, and international entities, reports related to the work of the MBRGI; and
6.
exercise any other duties or powers that are required for enabling the MBRGI to achieve its objectives under this Law; or that are assigned to it by the President.
a.
For purposes of this Law, Concerned Entities will be as follows:
1.
the Noor Dubai Foundation;
2.
the UAE Water Aid Foundation (Suqia);
3.
Al Jalila Medical Education and Research Support Foundation;
4.
the Mohammed bin Rashid Al Maktoum Charity and Humanitarian
Establishment;
5.
the International Humanitarian City;
6.
the Dubai Cares Foundation;
7.
the Mohammed bin Rashid Al Maktoum Foundation;
8.
the Sheikh Mohammed bin Rashid Al Maktoum Centre for Cultural
Understanding;
9.
the Mohammed bin Rashid School for Communication;
10.
the Dubai Foundation for the Museum of the Future;
11.
the Mohammed bin Rashid School of Government;
12.
the Mohammed bin Rashid Centre for Leadership Development;
13.
the Mohammed bin Rashid Establishment for Small and Medium-sized
Enterprises Development;
14.
the Knowledge Conference;
15.
the Mohammed bin Rashid Al Maktoum Knowledge Award;
16.
the Arab Reading Challenge Initiative;
17.
the Arab Social Media Influencers Summit and Award;
18.
the Arab Media Forum;
19.
the Arab Strategy Forum;
20.
the Mohammed bin Rashid Arabic Language Award;
21.
the Arab Journalism Award;
22.
the Dubai World Peace Convention;
23.
the Mohammed bin Rashid Al Maktoum Award for World Peace;
24.
the Dubai International Sports Conference;
25.
the Mohammed bin Rashid Al Maktoum Creative Sports Award;
26.
the Mohammed bin Rashid Al Maktoum Patrons of the Arts Award;
27.
the Hamdan bin Mohammed bin Rashid Award for Young Business
Leaders;
28.
the Mohammed bin Rashid Al Maktoum Business Award; and
29.
the UAE Drones for Good Award.
b.
The President or His authorised representative will have the authority to add to, or amend, the list of
Concerned Entities in accordance with the resolutions issued in pursuance of
this Law.
a.
The MBRGI will have a Board of Trustees comprised of the President, as chairman;
and a vice
chairman and a number of experienced and specialised members appointed pursuant
to a decree of the Ruler. Membership of the Board of Trustees will be for a
renewable term of three (3) years.
b.
The Board of Trustees will convene at the invitation of the
chairman, or the vice chairman where the chairman is absent, at least twice a
year and where necessary. Meetings of the Board of Trustees will be valid if
attended by the majority of its members, provided that the chairman or vice chairman
is in attendance.
c.
The Board of Trustees will pass its resolutions and recommendations
by majority vote of attending members; and in the event of a tie, the chair of the meeting will have a
casting vote.
d.
Resolutions and recommendations of the Board of Trustees will be
recorded in minutes and
approved by the chair of the meeting.
e.
A rapporteur will be appointed to the Board of Trustees by the
chairman or his authorised representative. The rapporteur will be responsible
for sending invitations to the Board of Trustees meetings, preparing its meeting agendas, recording its minutes of meetings, following up the
implementation of the Board of Trustees resolutions and recommendations, and
performing any other duties assigned to him by the chairman or vice chairman.
a.
The Board of Trustees will undertake general supervision of the
affairs of the MBRGI, and ensure that it exercises the functions assigned to it
under this Law. For these purposes, the Board of Trustees will have the
authority to:
1. approve the draft
annual budget and financial statements of the MBRGI, and submit the same to the
President for final approval;
2. discuss the annual
report of the MBRGI, and submit the same to the President;
3. perform all the
duties that enable the MBRGI to exercise the functions assigned to it under
this Law and the legislation in force in the Emirate; and
4. perform any other
duties assigned or delegated to it by the President.
b.
The Board of Trustees may delegate any of its powers under
paragraph (a) of this Article to its vice chairman, to any of its members, or to the Secretary General,
provided that such delegation is specific and in writing.
a.
A Secretary General will be appointed to the MBRGI pursuant to a
decree of the Ruler.
b.
The Secretary General will have the duties and powers to:
1.
approve, and follow up the implementation of, the general policy
and strategic plans of the MBRGI;
2.
supervise the implementation of the resolutions issued by the
President and the Board of Trustees;
3.
approve the methods of investing the property of the MBRGI, and
establish the procedures and rules required to benefit from returns on
investment in the fields and projects approved by the MBRGI;
4.
approve the fees and charges for the services provided by the
MBRGI;
5.
supervise the provision of
administrative
and executive support to the MBRGI;
6.
approve, and supervise the implementation of, the projects,
initiatives, and programmes that help in
supporting and developing the MBRGI, and in achieving its objectives;
7.
supervise the preparation of the
draft annual budget and financial statements of the MBRGI, and present the same
to the Board of Trustees for approval;
8.
approve the organisational structure of the MBRGI; and the bylaws
and resolutions regulating the administrative, financial, and technical affairs
of the MBRGI, including financial and contractual regulations, bylaws, and
policies; and the levels of financial approval powers;
9.
open, close, and withdraw and transfer funds from, bank accounts in
accordance with the financial regulations adopted by the MBRGI;
10.
submit to the President reports on the projects and initiatives of
the Concerned Entities;
11.
appoint specialist consultants and auditors and determine their remuneration;
12.
represent the MBRGI before third parties and conclude the contracts
and agreements required for the achievement of the objectives of the MBRGI;
13.
supervise the daily work of the executive body of the MBRGI;
14.
perform all the duties assigned to him pursuant to the bylaws
adopted by the MBRGI; and
15.
perform any other duties assigned or delegated to him by the
President or the Board of Trustees.
c.
The Secretary General may delegate any of his powers under paragraph (b) of this Article to any member of the Board of Trustees, to the
assistant secretary general, or to any employee of the MBRGI, provided that
such delegation is specific and in writing.
a.
The executive body of the MBRGI will be comprised of the Secretary
General, an assistant secretary
general, and a number of administrative, finance, and technical employees.
b.
The executive body of the MBRGI will perform all the operational
work of the MBRGI, and will perform any duties assigned to it by the Secretary
General or his authorised representative.
c.
The rights and obligations of MBRGI employees, and the rules
governing their selection and appointment, will be determined pursuant to the relevant employment regulations approved by the
Secretary General for this purpose.
d.
The MBRGI may seek the assistance of the executive body of any
entity to provide any administrative support to the MBRGI.
The
provisions of this Law will apply without prejudice to the legal personalities
and legally prescribed functions of Concerned Entities. A Concerned Entity will
be managed in accordance with its regulatory legislation to the extent that
such legislation does not contradict the provisions of this Law.
All
Concerned Entities and Government entities in the Emirate must fully cooperate
with the MBRGI to enable it to achieve its objectives.
The
financial resources of the MBRGI will consist of:
1.
movable and immovable property allocated to the MBRGI or Concerned
Entities by the Government;
2.
movable and immovable property allocated to the MBRGI by the Ruler,
and any revenue generated from such property;
3.
fees and charges for the services provided by the MBRGI;
4.
proceeds and profits generated from renting out and investing the
property of the MBRGI;
5.
revenues generated from endowments, grants, and gifts;
6.
any other resources secured by the MBRGI through conducting its
activities; and
7.
any other resources approved by the President or the Board of
Trustees.
a.
In managing its accounts and
records, the MBRGI will apply the accounting rules and principles approved by
the Board of Trustees.
b.
The financial year of the MBRGI will commence on 1 January and will
end on 31 December of each year, except that the first financial year will
commence on the date this Law comes into force and will end on 31 December of
the following year.
The
President or his authorised representative will issue the resolutions, bylaws,
and policies required for the implementation of the provisions of this Law.
Any
provision in any other legislation will be repealed to the extent that it
contradicts the provisions of this Law.
This
Law comes into force on the day on which it is issued, and will be published in
the Official Gazette.
