Concerning the
Requirements Applicable to Project
Companies[1]

The
Director General of the Department of Finance,
After perusal of:
Law No. (5) of 1995 Establishing the Department of Finance;
Law No. (22) of 2015 Regulating Partnership between the
Public Sector and the Private Sector in the Emirate of Dubai (the “Law”);
and
Decree No. (20) of 2009 Appointing the Director General of
the Department of Finance,
Does
hereby issue this Resolution.
The
words and expressions mentioned in this Resolution have the same meaning
assigned to them in the Law.
Without prejudice to the obligations
stipulated in the Law, the resolutions issued in pursuance thereof, and the
terms of the Partnership Contract, a Project Company must:
1.
ensure that its memorandum of
association and articles of association are consistent with the terms of the
Partnership Contract, any agreements attached thereto, and the provisions of
the Law;
2.
ensure that its term is not shorter
than the period required to perform the obligations and fulfil the requirements
prescribed under the Partnership Contract;
3.
adopt a risk management system that
ensures business continuity and the performance of its obligations under the
Partnership Contract;
4.
maintain the financial solvency necessary
for performance of its obligations under the Partnership Contract; and
5.
comply with any other requirements
prescribed by the Government Entity as warranted by the nature of the Project.
This Resolution
comes into force on the day on which it is issued, and will be published in the
Official Gazette.
