Forming the

Steering Committee for Overseeing the

Transfer of Commercial Control Operations in the Emirate of Dubai[1]

We, Hamdan bin Mohammed bin Rashid Al Maktoum, Crown Prince of Dubai, Chairman of the Executive Council,

After perusal of:

Law No. (5) of 2021 Concerning the Dubai International Financial Centre;

Law No. (20) of 2021 Establishing the Department of Economy and Tourism in the Emirate of Dubai;

Law No. (5) of 2023 Establishing the Dubai Corporation for Consumer Protection and Fair Trade;

Law No. (26) of 2023 Concerning the Executive Council of the Emirate of Dubai;

Decree No. (1) of 2023 Concerning Governance of the Councils/ Boards and Committees Affiliated to the Government of Dubai; and

The legislation establishing and regulating free zones, Special Development Zones, and the entities carrying out Commercial Control operations in the Emirate of Dubai,

Do hereby issue this Resolution.

Definitions
Article (1)

The following words and expressions, wherever mentioned in this Resolution, will have the meaning set out opposite each of them unless the context implies otherwise:

Emirate:

The Emirate of Dubai.

Executive Council:

The Executive Council of the Emirate of Dubai.

Law:

Law No. (5) of 2023 Establishing the Dubai Corporation for Consumer Protection and Fair Trade.

DET:

The Department of Economy and Tourism in the Emirate of Dubai.

DCCPFT:

Dubai Corporation for Consumer Protection and Fair Trade.

Steering Committee:

The Steering Committee for Overseeing the Transfer of Commercial Control Operations in the Emirate of Dubai formed pursuant to this Resolution.

Regulatory Body:

Any Government Entity authorised, under the applicable legislation, to carry out Commercial Control operations in the Emirate.

Commercial Control:

A set of non-technical procedures and measures undertaken by a Regulatory Body to conduct audit and inspection of Economic Activities and Commercial Establishments to verify their compliance with the legislation in force in the Emirate, and with the terms of the Commercial Licences and activity permits issued to these establishments.

Formation of the Steering Committee

Article (2)

a.    Pursuant to this Resolution, a temporary Committee named the “Steering Committee for Overseeing the Transfer of Commercial Control Operations in the Emirate of Dubai” is formed in the Emirate under the chairmanship of the Secretary General of the Supreme Legislation Committee in the Emirate of Dubai, and with the membership of:

1.    a representative from the Department of Finance;

2.    a representative from the Dubai Government Human Resources Department;

3.    the Chief Executive Officer of the DCCPFT;

4.    the Chief Executive Officer of the Regulatory Policies and Governance Sector of the DET;

5.    the Chief Executive Officer of the Legislation and Disputes Sector of the DET; and

6.    a representative from the Regulatory Body.

b.    The representatives of the Government Entities referred to in paragraph (a) of this Article will be nominated by the respective Heads of these Government Entities. Each representative must be experienced and specialised in fields that are relevant to the work of the Steering Committee, and must hold a grade not lower than the “Executive Director/ Chief Executive Officer” grade or an equivalent grade.

c.     A Regulatory Body will nominate a representative to attend the Steering Committee’s meetings, participate in the discussions related to the Commercial Control operations carried out by the Regulatory Body he represents, and perform any other duties assigned to him by the Chairman of the Steering Committee.

Functions of the Steering Committee

Article (3)

In addition to the functions assigned to it under the Law, the Steering Committee will have the duties and powers to:

1.    approve the time frames and phases for the transfer of Commercial Control functions and operations from Regulatory Bodies to the DCCPFT;

2.    standardise and streamline Commercial Control operations in local markets by identifying and classifying all forms and types of Commercial Control activities conducted by the Regulatory Bodies and the DCCPFT;

3.    review the Commercial Control and inspection procedures adopted by the Regulatory Bodies and the DCCPFT; propose any necessary amendments, standardisation, or streamlining; and submit the relevant proposals to the Executive Council to issue the directives it deems appropriate in this respect;

4.    establish rules and procedures for coordination between the Regulatory Bodies and the DCCPFT on the conduct of inspection operations that fall within their jurisdiction, including those regulating the exchange of information and data;

5.    seek assistance from experts and specialists, as it deems appropriate, whether or not they are employees of the Regulatory Bodies or Government Entities in the Emirate, or other persons to assist it in performing its duties; and invite them to attend its meetings without having the right to vote in its deliberations;

6.    form sub-committees and work teams to assist it in performing its duties; and determine the mandates, functions, and Terms of Reference of these sub-committees and work teams;

7.    ensure the integration of roles, coordination of efforts, exchange of information, and cooperation among the Government Entities and Regulatory Bodies on all matters that enable the Committee to perform its duties under this Resolution;

8.    make the necessary decisions on any issues or disputes that may arise between the DCCPFT and Regulatory Bodies, where no compromise solutions are reached, and, where required, refer unresolved issues or disputes to the Executive Council;

9.    oversee the implementation of the plan for the transfer of Commercial Control operations and operations; monitor its progress and completion phases; and issue the necessary directives on the obstacles and difficulties that may be encountered in any of the plan phases;

10.  assess the staffing needs required to enable the DCCPFT to perform its functions under the Law, and address the cases related to the transfer of employees whose transfer to the DCCPFT is deemed necessary; and

11.    exercise any other duties or powers assigned to it by the Chairman of the Executive Council.

Governance of the Steering Committee

Article (4)

The provisions of the above-mentioned Decree No. (1) of 2023 and the resolutions issued in pursuance thereof apply to all matters related to the governance of the Steering Committee, the procedures for holding its meetings and passing its resolutions and recommendations; and the duties of its Chairman, Members, and Rapporteur.

Providing Administrative Support

Article (5)

The DCCPFT will provide the Steering Committee with administrative and technical support to enable it to perform its duties under this Resolution.

Cooperation with the Steering Committee

Article (6)

All Government Entities in the Emirate, including the Regulatory Bodies and the authorities supervising Special Development Zones and free zones, such as the Dubai International Financial Centre, must fully cooperate with the Steering Committee and its sub-committees and work teams; and provide it, in a timely manner, with all the data, information, statistics, documents, and studies requested and deemed necessary by the Steering Committee to enable it to perform its duties under this Resolution, the resolutions issued in pursuance hereof, and other legislation in force in the Emirate.

Submission of the Final Report

Article (7)

a.    The Steering Committee will submit to the Executive Council, no later than the end of September 2025, a final report that includes the outcomes of the work and achievements of the Steering Committee; the difficulties and obstacles that the Steering Committee has faced in exercising its functions; and the proposals and recommendations it deems appropriate to address and overcome these difficulties and obstacles.

b.    Where required, the deadline referred to in paragraph (a) of this Article may be extended upon the recommendation of the Chairman of the Steering Committee.

Issuing Implementing Resolutions

Article (8)

The Chairman of the Steering Committee will issue the resolutions, instructions, and directives required for the implementation of the provisions of this Resolution.

Publication and Commencement

Article (9)

This Resolution will be published in the Official Gazette and will come into force on the day on which it is published.
