Concerning the

Hamdan bin Mohammed Heritage Centre[1]

We, Mohammed bin Rashid Al Maktoum, Ruler of Dubai,

After perusal of:

Law No. (3) of 2003 Establishing the Executive Council of the Emirate of Dubai;

Law No. (27) of 2006 Concerning Management of the Government of Dubai Human Resources and its amendments; and

Resolution No. (1) of 2013 Establishing the Hamdan bin Mohammed Heritage Centre,

Do hereby issue this Decree.

Definitions

Article (1)

The following words and expressions, wherever mentioned in this Decree, will have the meaning indicated opposite each of them unless the context implies otherwise:

UAE:

The United Arab Emirates.

Emirate:

The Emirate of Dubai.

Executive Council:

The Executive Council of the Emirate of Dubai.

Office:

The Zaabeel Office of His Highness Sheikh Mohammed bin Rashid Al Maktoum.

HHC:

The Hamdan bin Mohammed Heritage Centre.

Director General:

The secretary of His Highness Sheikh Mohammed bin Rashid Al Maktoum.

CEO:

The chief executive officer of the HMHC.

Affiliation of the HHC

Article (2)

This Decree applies to the HHC established pursuant to the above-mentioned Resolution No. (1) of 2013 as a public corporation having legal personality and the legal capacity required to undertake all acts and dispositions that ensure the achievement of its objectives. The HHC is hereby affiliated to the Office.

Head Office of the HHC

Article (3)

The head office of the HHC will be located in the Emirate. Other branches and offices of the HHC may be established within and outside of the Emirate pursuant to a resolution of the Director General.

Objectives of the HHC

Article (4)

The HHC aims to contribute to promoting the national heritage of the UAE; to ensure that this heritage is transmitted to and preserved for future generations; to promote it at the local, regional, and international levels; and to establish cooperation and joint projects with entities concerned with heritage with a view to sustaining and reviving the national heritage.

Functions of the HHC

Article (5)

For the purpose of achieving its objectives, the HHC will, in coordination with the concerned entities, exercise the following duties and powers under the supervision of the Office:

1.    to develop integrated systems and programmes to support and develop heritage-related activities;

2.    to perform the processes and work that are related to the HHC activities and required for the achievement of its objectives, including conducting business activities;

3.    to conduct the studies and research required to preserve and document heritage, and to develop heritage-related activities;

4.    to raise awareness of the importance of heritage by holding and organising heritage, cultural, and literary seminars, conferences, workshops, evenings, and other events; and by participating in cultural and heritage festivals held within and outside of the UAE;

5.    to organise or participate in organising and managing heritage contests and championships; and to award prizes to winners of the same;

6.    to hold and supervise goal-oriented heritage programmes hosted by various media;

7.    to conduct audio, visual, and print media activities that are related to the objectives of the HHC;

8.    to manage the heritage sites supervised by the HHC or those whose supervision and management are assigned to it within and outside of the Emirate;

9.    to release and publish books, printed material, bulletins, and audio and video recordings related to heritage;

10.  to own and take lease of the movable and immovable property required for the achievement of its objectives; and

11.  exercise any other duties or powers required for enabling it to achieve its objectives under this Decree.

Management of the HHC

Article (6)

a.    A CEO and a deputy CEO will be appointed to the HHC pursuant to a resolution issued by the Chairman of the Executive Council upon the recommendation of the Director General.

b.    The CEO will be directly responsible to the Director General for performing the duties and powers assigned to him under this Decree.

c.     In exercising his duties and powers under this Decree, the CEO must coordinate with the Director General.

d.    The employees of the HHC will be governed by Law No. (27) of 2006 Concerning Management of the Government of Dubai Human Resources and its amendments. Employees who work for the HHC by the effective date of this Decree will retain the existing rights stipulated in their employment contracts.

Functions of the CEO

Article (7)

a.    The CEO will supervise the daily work of the HHC; manage and administer its affairs; be responsible for implementing the HHC policies; and exercise the powers and authority required for the achievement of the HHC objectives. The CEO will, in particular, have the duties and power to:

1.    propose the general policy and the strategic, development, and operational plans of the HHC; submit the same to the Director General for approval; and follow up their implementation;

2.    propose the work plans and programmes of the HHC; submit the same to the Director General for approval; and review these plans and programmes and assess the progress of their implementation on an annual basis;

3.    set the strategic goals of the HHC and the procedures required to oversee the implementation of these goals; and get the same approved by the Director General. The goals must be reviewed, and compliance with them must be assessed, on an annual basis;

4.    take the necessary action to ensure compliance by the HHC with the legislation in force in the Emirate, with the resolutions and regulations issued in pursuance thereof, and with any other legislation related to the work and activities of the HHC;

5.    propose the organisational structure of the HHC and submit the same to the Director General for approval;

6.    propose the annual budget and the financial statements of the HHC, and submit the same to the Director General for approval as part of the annual budget of the Office;

7.    supervise performance by the executive body of the HHC of the duties assigned to it pursuant to the approved bylaws and regulations;

8.    implement, or follow up the implementation of, the resolutions, policies, plans, and programmes of the HHC;

9.    approve financial transactions, including bank remittances and cheques, subject to the financial regulations and bylaws adopted by the Office and the delegation of powers matrix approved by the Director General;

10.  form permanent or temporary sub-committees and work teams to assist him in performing his duties and achieving the objectives of the HHC; and determine the duties, powers, and tenures of these sub-committees and work teams and the remuneration of their members;

11.  sign, in the HHC name and on its behalf, contracts, agreements, and memoranda of understanding, in accordance with the relevant powers conferred on him by the Office;

12.  supervise the organisational units of the HHC, prepare periodic and annual reports on the progress of their work, and submit these reports to the Director General; and

13.  exercise any other duties or powers related to the objectives of the HHC, as assigned to him by the Director General.

b.    The Director General may delegate any of his powers under paragraph (a) of this Article to the CEO or deputy CEO, provided that such delegation is specific and in writing.

c.     The CEO may delegate any of his powers under paragraph (a) of this Article to the deputy CEO, provided that such delegation is specific and in writing.

Financial Resources of the HHC

Article (8)

The financial resources of the HHC will consist of:

1.    the financial appropriations allocated to the HHC in the annual budget of the Office;

2.    the grants, gifts, donations, and bequests accepted by the Director General; and

3.    any other resources approved by the Director General.

Accounts and Financial Year of the HHC

Article (9)

a.    In managing its accounts and records, the HHC will apply the rules and principles of government accounting.

b.    Contracts, agreements, bank remittances, and cheques will be signed; and account management instructions will be issued by the HHC to the concerned banks in the UAE, in accordance with the financial approval powers bylaw approved by the Director General.

c.     The financial year of the HHC will commence on 1 September of each year and will end on 31 August of the following year.

Issuing Implementing Resolutions

Article (10)

The Director General or his authorised representative will issue the resolutions required for the implementation of the provisions of this Decree.

Repeals

Article (11)

The above-mentioned Resolution No. (1) of 2013 is hereby repealed. Any provision in any other legislation will also be repealed to the extent that it contradicts the provisions of this Decree.

Commencement and Publication

Article (12)

This Decree comes into force on the day on which it is issued, and will be published in the Official Gazette.
